User Agreement

Below is a summary of the key terms of the “Contract” that applies to your conduct during your use of our Services. When you use our Services you agree to our “User Agreement.” Your use of our Services is also subject to our Terms of Service as well as our Privacy Policy and Cookie Policy (which together cover how we collect, use, share, and store your personal data).

Key Obligations

We can each end the Contract, but some rights and obligations will survive. Here are some key obligations that you agree to in the Contract:

  • You’re eligible to enter into the Contract and you are at least our “Minimum Age.”
  • You will keep your password a secret.
  • You will not share an account with anyone else.
  • You will follow our “Dos and Don’ts” and our Investment Community Policies.

Investment Community Policies

Our Investment Community Policies have three main elements:

  • Be Safe: do not distribute harassing content; do not threaten, incite, or promote violence; do not share material depicting the exploitation of children; do not promote, sell or attempt to purchase illegal or dangerous goods or services; do not share content promoting dangerous organizations or individuals.
  • Be Trustworthy: do not share false or misleading content; do not create a fake profile or falsify information about yourself; do not scam, defraud, deceive others.
  • Be Professional: do not be hateful, do not engage in sexual innuendos or unwanted advances; do not share harmful or shocking material; do not spam members or the platform.

Your Responsibilities

  • You will comply with the law.
  • You will keep your contact information up to date.
  • You will only provide information and content that you have the right to share.
  • Your Okidex profile will be truthful.
  • For Founders, business and financial information that you provide Okidex and the Investors on it will be accurate and truthful.
  • For Investors, profiles and verification marks on Okidex do not constitute investment advice, endorsements, or validation of any business, financial, or cap table data. Verification is strictly a matching check against founder-disclosed documents; Okidex does not audit these records, confirm their legitimacy, ensure their recency, or verify official lodging with any government registry, tax, or accounting authority. As entity statuses are subject to change, Okidex cannot reasonably ensure the recency of the articles. Investors are solely responsible for conducting their own independent discovery and due diligence, and must not treat Okidex's verification marks as a sole source of truth. To protect founder privacy, Okidex will not share original verification documents or incorporation articles with investors, even upon request; all such disclosures must be obtained directly from the founder.
  • Financial information from businesses remain sensitive and Okidex request Investors not to share any information transmitted or distributed in any way without the Founders’ consent.

Notices, Payments, and Liability

  • You’re okay with us providing notices and messages to you through our websites, apps, and contact information you provided to us.
  • If you get a paid service from us, You’ll honor your payment obligations and you are okay with us storing your payment information.
  • You understand that there may be fees and taxes that are added to our prices and that refunds are subject to our Refund Policy.
  • You agree that we have limited liability under the contract and have disclaimed warranties regarding our Services.
  • You agree that we can use data and information about you to make relevant suggestions to you and others.

Acknowledgements About Our Services

  • When you share information on our Services, you understand that others can see, copy and use that information.
  • While we offer many choices about how your personal data is used in connection with the Service, you agree that we can use your personal data subject to this Contract, our Privacy Policy and notices and consents we provide in the context of the Service.
  • You grant us a non-exclusive right to use the information and content you share on our Services.
  • Your use of others’ content and information distributed on our Services is at your own risk. Okidex is not responsible for those third-party products and services offered through our platform.
  • We have the right to limit how you connect and interact on our Services.
  • We may change or end any part of the Service.
  • We may make changes to the Contract (and our prices) which will have a prospective effect from the date of change.
  • If we have a legal dispute, you agree to use the courts and law identified in the Contract.

Data Privacy, Secure Infrastructure & Verification Consent

In accordance with Singapore's Personal Data Protection Act (PDPA), we implement strict data protection and governance controls:

  • Secure Infrastructure: Okidex servers are private, protected, and secure. All user, business, and financial data is encrypted at rest (AES-256) and in transit (SSL/TLS).
  • Strict Third-Party Restriction: We will never share, sell, lease, or distribute your business' legal, financial, or personal information to third parties without your explicit prior consent.
  • Manual and AI Verification Review Consent: By uploading documents (e.g., legal incorporation files, financial statements, cap tables) for startup verification, you grant consent to Okidex staff and the OkiAgent AI to process and audit the documents solely to cross-check registration details against your profile data.
  • Restriction on Sharing Founder Articles: Under ordinary trading circumstances, Okidex will not share the original incorporation articles or verification files uploaded by founders with investors (even upon request), as doing so would infringe on our privacy agreement with founders. It is solely up to the founders to transmit these articles or documents on their own accord.
  • Data Deletion Recourse: You retain the right to formally request the complete and permanent deletion of any previously submitted data, articles, or uploaded files from our servers at any time by contacting our Data Protection Officer at wilfred@okidex.com.

AI Disclaimer and Limitation of Liability

You acknowledge that Okidex is an experimental application and is produced with the assistance of artificial intelligence (AI). As such, you must be aware of the following:

  • No Guarantees of Accuracy: Information, matches, summaries, and other content generated by AI may contain inaccuracies, errors, or omissions. We make no guarantees regarding the accuracy, completeness, or reliability of any information provided through the Services.
  • Not Financial Advice: Nothing you see on the Okidex platform constitutes professional, financial, legal, or investment advice. All content is for informational purposes only.
  • Limitation of Liability: Okidex disclaims all liability for any errors or omissions in the data provided and for any decisions you make in reliance upon it. Your use of the information is at your own risk.
  • User Discretion Required: You are solely responsible for your decisions. We strongly caution you to exercise your own discretion, conduct independent due diligence, and consult with qualified professionals before making any investment or business decisions.

Data Room NDA Gateways & Matchmaker Scope

For startup profiles utilizing Data Room privacy controls (Oki+ Premium), the following terms govern the transmission of sensitive financials and capitalization tables:

  • NDA Options & Previews: Founders are granted complete visibility to the Non-Disclosure Agreement (NDA) shared with investors. Founders can choose between (a) the standard Okidex Mutual NDA, (b) uploading and displaying their own custom NDA text, or (c) pausing the platform's NDA gate entirely by notifying us that an external NDA/arrangement is already active between the parties.
  • Role as Neutral Matchmaker: You explicitly acknowledge that Okidex operates solely as a matchmaking platform designed to facilitate introductions and self-disclosed information sharing between consenting entities (founders and investors). Okidex is NOT a party to any NDA entered into between founders and investors (whether standard, custom, or external).
  • Disclaimer of NDA Liability: Okidex makes no representations, warranties, or covenants regarding the legal validity, enforceability, or adequacy of any NDA text (including the Standard NDA). Okidex disclaims all liability, claims, or damages arising out of or in connection with the breach, interpretation, enforcement, or invalidity of any NDA agreed to or bypassed on the platform. Users execute these agreements at their own discretion and sole risk.
  • Dynamic Information & Direct Disclosure (1-1 Relationship): Investors acknowledge that any user-submitted information, including monthly financials and capitalization tables, is subject to dynamic updates and changes at any time by the respective founder. This information sharing represents a direct, 1-1 relationship between the founder and the investor. Okidex is not involved in, does not influence, and has no control over the disclosure process, timing, or content of these updates.

Okidex's Obligations

  • Distributing original content or providing feedback and personal data through our Service does not change ownership in this content and information and so you would continue to own what is yours.
  • We will honor the terms of the non-exclusive license that you grant to us for your original content and feedback.
  • We’ll honor the choices that you make about who gets to see your content, including how and if it can be used for ads.
  • We’ll honor the terms of our Privacy Policy and the choices that you make about your personal data through our settings.
  • We agree to provide you notice and an explanation if we believe your content violates our Contract and will provide you an opportunity to get a further review.
  • If we have a legal dispute, we agree to use the courts and law identified in the Contract.
